Terms of Service
The terms that govern your use of Devexa and its subscription plans.

All plans are non-refundable
Subscription fees are charged in advance and are non-refundable. When you purchase or upgrade a plan, the amount paid for the current billing period is final — we do not provide refunds, credits or pro-rated reimbursements for unused time, unused usage, cancellations or downgrades. You can cancel at any time to stop future renewals.
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Devexa platform, dashboard, APIs and modules (the "Service"). By creating an account, installing a module, or purchasing a plan, you agree to these Terms.
2. Subscriptions & plans
The Service is offered on a monthly or annual subscription. Each plan grants access to specific services (such as SmartShield, Smart Search and AI features) up to the usage limits shown for that plan. Your subscription renews automatically at the end of each billing period until you cancel. Trials, where offered, run for 7 days and require no card. Not every service is offered on trial: AI Studio and the AI Visualizer are billed from activation, because every image they generate is paid for by us at the moment it is made. Trials are limited to one per business, and a service on trial has the same functionality and the same limits as the paid subscription.
3. Minimum Term
Each paid service is supplied on a minimum term of 24 months, beginning on the day the service is activated for your store. Within that term you may cancel at any time, and your subscription then runs to the end of the term. Charges already invoiced remain payable and, where the term is ended early by you or by us for your breach, the remaining monthly charges for that term fall due. After 24 months the subscription continues month to month and either of us may end it with 30 days' written notice. The term exists because the price is set against it: the AI a store consumes is paid for by us as it is used, and the cost of onboarding a store is carried in the first months of the contract.
4. Billing & payment
Payments are processed securely by Stripe. You authorise us to charge your payment method the recurring fee for your selected plan and billing interval (monthly or annual). Prices are shown in EUR and may exclude applicable taxes, which can be added at checkout.
5. No refunds
All fees are non-refundable. We do not offer refunds or credits for partial billing periods, unused API calls or usage, downgrades, or for periods during which you did not use the Service. If you cancel, your plan remains active until the end of the current billing period and is not renewed thereafter.
6. Usage limits & fair use
Each plan includes monthly usage limits per service. If you reach a limit, affected features may pause until the next billing period or until you upgrade. We may apply reasonable fair-use protections to maintain service quality for all customers.
7. Licence and Integrity of the Modules
The Magento modules are licensed to you for use with a valid Devexa API key for the duration of your subscription. They are licensed, not sold, and no ownership passes to you. You may install, configure and update the modules, and you may keep them under your own version control. You may not: • modify, patch, recompile or otherwise alter the modules, or any part of them, in order to use the services without a valid key, beyond the entitlements of your plan, or after your subscription ends; • remove, disable, bypass or interfere with the licence validation, the usage metering, the credit accounting or the request signing; • redistribute, resell, sublicense or share the modules or your API key with any business other than the one the subscription was issued to; • reverse engineer the modules or the Platform except to the extent that this restriction cannot lawfully be excluded. Ordinary technical work is expressly permitted: bug reports, local debugging, overriding templates and styles in your own theme, and integrating the modules with your own code. What is prohibited is defeating the licence, not customising the software. If we have reasonable grounds to believe the licence or metering has been circumvented, we may suspend the affected API key immediately and require you to restore an unmodified installation. Continued circumvention is a material breach: we may terminate the agreement, invoice the remaining charges for the minimum term, recover the value of the services used outside your entitlement, and pursue any other remedy available to us in law.
8. Acceptable use
You agree not to misuse the Service, attempt to bypass usage limits or security, resell the Service without authorisation, or use it for unlawful purposes. We may suspend accounts that violate these Terms.
9. Service availability
We work to keep the Service available and reliable but do not guarantee uninterrupted operation. The Service may be updated, maintained or temporarily unavailable from time to time.
10. Limitation of liability
The Service is provided "as is". To the maximum extent permitted by law, Devexa is not liable for indirect, incidental or consequential damages, or for loss of profits, revenue or data arising from your use of the Service.
11. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
